1. Acceptance of Terms

Welcome to ResearchArch (FinFlow). By accessing or using our financial research platform, website, and related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and ResearchArch/FinFlow ("Company," "we," "us," or "our").

2. Service Description

ResearchArch provides financial research tools, market data aggregation, portfolio analytics, company analysis, and investment research services. Our Services include:

• Market Data: Real-time and historical stock prices, company fundamentals, and market intelligence
• Research Tools: Technical analysis, portfolio optimization, DCF calculators, and valuation models
• AI-Powered Insights: Company analysis, earnings summaries, and investment recommendations
• Portfolio Management: Watchlists, portfolio tracking, and performance analytics
• Market Intelligence: News aggregation, earnings calendars, and insider transaction tracking

3. Account Registration & Eligibility

Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Services under applicable law
• Provide accurate, current, and complete information during registration

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Using a strong, unique password and enabling two-factor authentication when available

4. Subscription Plans & Payment

Free & Paid Plans

We offer multiple subscription tiers:

• Free Plan: Limited access to basic market data and research tools
• Premium Plans: Enhanced features, real-time data, advanced analytics, and AI insights
• Enterprise Plans: Custom solutions for institutional clients

Billing

• Subscriptions are billed monthly or annually in advance
• Payment is processed automatically through our payment provider
• All fees are non-refundable except as required by law or explicitly stated
• We reserve the right to change pricing with 30 days' notice

Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. You will retain access to paid features until the end of your billing cycle.

5. Acceptable Use Policy

You agree NOT to:

• Violate Laws: Use the Services for illegal activities or fraud
• Unauthorized Access: Attempt to access systems, data, or accounts without authorization
• Scraping & Automated Access: Use bots, scrapers, or automated tools to extract data without permission
• Data Redistribution: Resell, redistribute, or commercially exploit market data provided through our Services
• Reverse Engineering: Decompile, disassemble, or reverse engineer our software or algorithms
• System Interference: Introduce malware, viruses, or disrupt service functionality
• Impersonation: Impersonate other users, organizations, or our staff
• Spam & Abuse: Send unsolicited communications or abuse support channels

6. Intellectual Property Rights

Our IP

All content, features, functionality, software, code, designs, trademarks, and logos on the platform are owned by ResearchArch or our licensors and are protected by copyright, trademark, and other intellectual property laws.

License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes, subject to these Terms.

Third-Party Data

Market data is provided by third-party sources (NASDAQ, SEC EDGAR, and other leading financial data providers) and is subject to their respective terms and conditions. You agree to comply with all third-party data provider terms.

7. Investment Disclaimers

You acknowledge that investment decisions are your sole responsibility, and we are not liable for any losses, damages, or consequences resulting from your use of our Services.

8. Data Accuracy & Availability

• Data Delays: Market data may be delayed by 15 minutes or more depending on your subscription tier and data provider
• Errors & Omissions: While we strive for accuracy, market data and analytics may contain errors, omissions, or inaccuracies
• Service Availability: We do not guarantee uninterrupted or error-free service availability
• Maintenance: We may perform scheduled or emergency maintenance that temporarily affects service access

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• ResearchArch provides Services "AS IS" and "AS AVAILABLE" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement
• We are NOT liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for third-party data provider errors, outages, or delays

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless ResearchArch, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your investment decisions based on information from our platform

11. Termination

By You

You may terminate your account at any time by contacting support or using account deletion features. Termination does not entitle you to a refund of prepaid fees.

By Us

We may suspend or terminate your account immediately if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Cause security risks or system disruptions

12. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our Services, you consent to our data practices as described in the Privacy Policy.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms with a new "Last Updated" date. Material changes will be notified via:

• Email notification to your registered email address
• Prominent notice on the platform
• In-app notification

Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services and terminate your account.

14. Governing Law & Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or your use of the Services shall be resolved through:

• Informal Negotiation: Contact us at legal@researcharch.com to resolve disputes informally
• Binding Arbitration: If informal negotiation fails, disputes will be resolved through binding arbitration in accordance with the American Arbitration Association rules
• Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class action lawsuits

Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to systems.

15. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and any supplemental terms, constitute the entire agreement between you and ResearchArch regarding the Services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and ResearchArch.
